High End Graphics – Terms and Conditions

Effective Date: The date the CLIENT agrees to these Terms and Conditions, either by submitting a project request, making any payment, or affirmatively checking the agreement box on our intake form or website (if applicable).

Welcome to High End Graphics. By engaging with our services, you (“CLIENT”) agree to the following terms and conditions, which apply to all design services offered by High End Graphics, including membership plans, individual projects, and intellectual property policies.

MEMBERSHIP PLAN OPTIONS

We offer two main types of working relationships: Shared Designer Access and Dedicated Designer Access, plus one-off Single Project services.

1. Membership Plans Overview

1.1 Shared Designer Plan

Unlimited design requests
24–48 hour turnaround time
1–2 active requests at a time
Communication via Asana or email (Asana preferred)
Ideal for businesses with flexible timelines

1.2 Dedicated Designer Plans

Part-Time: Up to 20 hrs/week
Full-Time: Up to 40 hrs/week
Includes static designs + simple motion/video
Real-time communication during agreed hours
Slack/tool integration allowed
Time blocks must be pre-agreed

SINGLE PROJECT TERMS (NON-MEMBERSHIP)

2. Single Projects Overview

One-time design engagements with unlimited revisions before final delivery.

2.1 Deposits

50% deposit required unless paid in full upfront
All deposits are non-refundable once work has commenced

2.2 Completion

Project closes when files are delivered and final payment is made or confirmed in writing

2.3 Revisions

Unlimited revisions prior to closure
30-day grace period for small edits
After 30 days, changes are billable

2.4 Final Payment

We reserve the right to charge remaining balance if not paid in a reasonable timeframe
CLIENT forfeits rights to final deliverables until payment is made in full

2.5 Timeline for Event-Based Projects

CLIENT agrees to provide all required materials (e.g., bios, headshots, links, video files, copy) in a timely manner
Delays from the CLIENT may impact deadlines and are not High End Graphics’ responsibility
High End Graphics cannot guarantee delivery for event-based deadlines if CLIENT delays occur

WHAT’S INCLUDED VS. NOT INCLUDED

Included:

Static graphics (ads, flyers, social posts)
Simple video edits and motion graphics (Dedicated Plans only)
Revisions and updates to working files
Final files: JPG, PNG, PDF, SVG, or editable source

Not Included:

Motion/video on Shared plans
Web development/coding
Publishing to social or ad platforms

GENERAL TERMS & POLICIES

3. Turnaround, Priority & Scope

Standard hours: Mon–Fri, 9AM–6PM ET
Turnaround: 24–48 hrs for Shared Plans
Same-day possible for Dedicated Plans
Rush work or overtime may incur fees

4. Client Responsibilities & Communication

4.1 Shared Designer Communication

Asana preferred (email supported)
Third-party tools not supported
Unapproved files or projects may be removed

4.2 Dedicated Designer Communication

Slack/PM tool integration allowed
Real-time comms during assigned blocks
Reassignments may occur at our discretion
CLIENT responsible for timely briefs & feedback

5. Copyright, Usage & Liability

CLIENT responsible for submitted content legality
CLIENT holds High End Graphics harmless from claims
AI tools may be used in concepting (not final output)
Upon final payment, CLIENT owns the rights to the final approved design deliverables, excluding underlying design tools, working files, or templates created by High End Graphics for production efficiency.
Concepts, unused drafts, and working files remain the intellectual property of High End Graphics

6. Portfolio Use

We may showcase completed work unless CLIENT opts out in writing

7. Refunds, Pauses & Cancellations

No refunds after work has started
30-day inactivity forfeits time
Pauses allowed once/quarter (up to 30 days)
30 days’ notice required to cancel

8. File Management

CLIENT responsible for file backups

9. Limitation of Liability

Our liability is capped at amount paid
No guarantees of marketing results
All obligations of High End Graphics are those of the company only; no officer, member, or employee shall have any personal liability under this Agreement.

10. Payment & Fees

Payment due upon invoice
5% monthly late fee may apply

11. Modifications & Confidentiality

Terms may be updated without notice
Client info remains confidential unless permission is granted

12. Non-Disclosure and Confidentiality

1. Definition of Confidential Information
“Confidential Information” includes, but is not limited to, all non-public information disclosed by either party—whether oral, written, digital, or otherwise—relating to business operations, strategies, designs, trade secrets, financial data, client lists, creative concepts, or proprietary materials.

2. Mutual Obligation
Both HIGH END and CLIENT agree to treat all Confidential Information disclosed by the other as strictly confidential. Each party will use the same level of care in protecting the other’s information as it uses to protect its own, but not less than a reasonable degree of care.

3. Permitted Use
Confidential Information shall only be used for the purpose of carrying out work under this Agreement and shall not be disclosed to any third party without prior written consent, except to employees, contractors, or agents who need to know such information to perform their duties and who are bound by confidentiality obligations.

4. Exceptions
The obligations in this section do not apply to information that:
a) is or becomes publicly available through no fault of the receiving party;
b) was already known to the receiving party prior to disclosure;
c) is independently developed without use of the other party’s Confidential Information; or
d) is required to be disclosed by law or court order (with prompt notice to the other party when legally permitted).

5. Portfolio Use Exception
HIGH END may display completed, publicly released, or non-sensitive portions of work in its portfolio or marketing materials unless otherwise agreed upon in writing.

6. Term of Confidentiality
These obligations shall remain in effect during the term of this Agreement and for a period of three (3) years following termination, unless otherwise required by law or mutually agreed in writing.

7. Return or Destruction
Upon request, each party shall return or destroy all Confidential Information belonging to the other.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Wyoming.

By engaging with High End Graphics, you acknowledge and accept these Terms and Conditions.
